- Technical advisory services
Individual software products may have their own additional terms of service.
3. Consulting Engagements
For consulting and development services:
- Engagements are governed by a separate Statement of Work (SOW) agreed upon by both parties
- Fees, timelines, and deliverables are specified in the SOW
- Either party may terminate an engagement with 30 days written notice unless otherwise specified in the SOW
- Work product ownership is specified in the SOW; by default, custom-developed code is owned by the client upon full payment
4. Intellectual Property
The Sierra Data Labs website, brand, and proprietary software products are owned by Sierra Data Labs LLC and protected by intellectual property laws.
- Our website content may not be copied, modified, or distributed without permission
- Pre-existing intellectual property and reusable frameworks remain the property of Sierra Data Labs
- Client-specific deliverables are governed by the applicable SOW
5. Confidentiality
We treat all client information as confidential:
- We will not disclose client project details, data, or business information to third parties without consent
- Confidentiality obligations survive termination of any engagement
- Standard exceptions apply for information that is publicly available, independently developed, or required by law
6. Acceptable Use
You agree not to:
- Use our website or services for any illegal purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our website or services
- Misrepresent your identity or affiliation
7. Service Availability

For consulting engagements, liability is limited to the fees paid for the specific engagement giving rise to the claim.

13. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration conducted by JAMS in San Francisco, California, under its Streamlined Arbitration Rules.
Small Claims Exception: Either party may bring an individual action in small claims court.
